Terms and Conditions

Note:This is an English summary of WaiBase's terms. The Dutch version (Algemene Voorwaarden) is the binding legal text. In case of any discrepancy between this translation and the Dutch original, the Dutch version prevails.

1. General

These terms apply to all offers, quotes and agreements of WaiBase, based in Haarlem, Chamber of Commerce number 75692767, hereafter "WaiBase".

2. Quotes and agreements

All quotes are non-binding and valid for 30 days, unless stated otherwise. An agreement takes effect after written confirmation by email. Verbal agreements are only binding once confirmed in writing.

3. Pricing and payment

All prices are exclusive of VAT, unless stated otherwise. Payment is due within 14 days of the invoice date. For projects above €5,000 a 50% advance payment may be required.

4. Performance

WaiBase carries out the work to the best of its ability and insight. Stated lead times are indicative, not strict deadlines. The client provides required information, access and materials in a timely manner.

5. Intellectual property

After full payment, ownership of materials developed specifically for the client transfers to the client. Standard tools, templates and methods remain the property of WaiBase and may be reused by WaiBase.

6. Confidentiality

Both parties keep confidential information received from the other under the agreement strictly confidential. This obligation continues after the agreement ends.

7. Liability

WaiBase's liability is limited to the amount paid out under its professional liability insurance for the case at hand, with a maximum of the invoice amount of the relevant assignment. WaiBase is not liable for indirect damages, consequential damages or lost profits.

8. Termination

Retainer agreements can be terminated by either party with one month's notice. For one-off projects, delivery of the final result marks the end of the agreement.

9. Governing law

Dutch law applies to all agreements. Disputes are submitted to the competent court in the North Holland district.
